1. Scope
These General Terms and Conditions apply to offers, quotations, order confirmations, orders, manufacture, sale, delivery and related services provided by DREKOTEC spol. s r.o. to business customers.
They apply to custom pallets, atypical pallets, wooden pallets, wooden packaging, transport supports, packaging components and related products.
These General Terms and Conditions form part of the contract if they are attached to, referenced in, or made available with an offer, quotation, order confirmation, invoice, delivery note, e-mail communication or other business document of DREKOTEC spol. s r.o.
The customer’s purchasing terms, ordering terms or other general terms do not apply unless expressly accepted in writing by DREKOTEC spol. s r.o.
These General Terms and Conditions do not apply to consumer contracts.
2. Orders
A contract is concluded when DREKOTEC spol. s r.o. confirms the customer’s order by e-mail, order confirmation, pro forma invoice, or by starting production or delivery.
The customer’s order must contain all information necessary for production and delivery, especially:
a) product type and description,
b) dimensions and tolerances,
c) quantity,
d) material or quality requirements,
e) load capacity, if relevant,
f) delivery place and delivery date,
g) invoicing details,
h) ISPM 15, heat treatment, marking, labelling or export requirements,
i) special handling, packaging or documentation requirements.
If the order is incomplete, unclear or technically unsuitable, delivery periods start only after all necessary information, documents and approvals are provided.
Orders for custom-made products may be cancelled or changed only with the written consent of DREKOTEC spol. s r.o.
3. Product specifications
Products are manufactured according to confirmed specifications, drawings, technical documentation, samples, load requirements, dimensions, material requirements and quantity.
If the customer provides drawings, samples or technical documentation, DREKOTEC spol. s r.o. may rely on them as accurate and complete.
Unless expressly agreed otherwise, dimensions, weight, colour, visual appearance, moisture, surface roughness and natural characteristics of wood may vary within normal manufacturing, material and trade tolerances.
Wood is a natural material. Knots, colour variation, cracks, resin, moisture variation, minor deformation, roughness and similar natural features are not defects unless they materially prevent the agreed use of the product.
If the customer approves a sample, drawing, first article or prototype, subsequent production is deemed compliant if it materially corresponds to the approved sample or documentation.
4. Special use, export and ISPM 15
The customer must notify DREKOTEC spol. s r.o. before order confirmation if the products are intended for:
a) export outside the European Union,
b) ISPM 15 use, heat treatment or official marking,
c) food, pharmaceutical or chemical use,
d) automated conveyor systems,
e) high-bay or racking systems,
f) humidity-sensitive storage,
g) any regulated or technically specific use.
ISPM 15 treatment, heat treatment, official marking, export documentation or phytosanitary-related requirements are provided only if expressly confirmed.
If the customer fails to provide destination-specific, export or special-use requirements, DREKOTEC spol. s r.o. is not liable for refusal, delay, quarantine, re-treatment, customs issues, penalties, storage costs or other related consequences.
5. Prices
Prices are stated in EUR, excluding VAT, transport, customs, insurance, special packaging, certificates, pallet return logistics, unloading and other additional costs, unless agreed otherwise.
For custom products, DREKOTEC spol. s r.o. may require advance payment, deposit, prepayment, credit approval or other security before starting production.
If the customer requests changes after order confirmation, DREKOTEC spol. s r.o. may charge additional costs and extend delivery dates.
6. Payment
Unless agreed otherwise, invoices are payable within 14 days from the invoice date.
DREKOTEC spol. s r.o. may issue invoices upon order confirmation, completion of production, readiness for dispatch, partial delivery or delivery.
The customer may not withhold, reduce or set off payment without prior written consent of DREKOTEC spol. s r.o.
In case of late payment, DREKOTEC spol. s r.o. may suspend production or delivery, require advance payment for future orders, cancel unfulfilled orders, charge statutory default interest and exercise retention of title.
Bank fees and costs connected with international payments are borne by the customer.
7. Delivery
Delivery dates are approximate unless expressly confirmed as fixed.
Delivery is completed when the products are handed over to the customer, carrier, forwarding agent, or made available for collection.
Risk of damage or loss passes to the customer upon handover to the customer, carrier or forwarding agent, or when the customer is in delay with taking over the products.
If the customer fails to take delivery on time, DREKOTEC spol. s r.o. may store the products at the customer’s risk and cost, invoice the products, and charge storage, handling and additional transport costs.
DREKOTEC spol. s r.o. is not liable for delay caused by missing customer information, changes in specifications, delayed approvals, material shortage, supplier delays, transport disruptions, public authority measures, energy outages, strikes or other circumstances beyond its reasonable control.
8. Inspection and complaints
The customer must inspect the products immediately upon delivery or collection.
Visible defects, quantity differences, transport damage or apparent non-conformity must be notified in writing without undue delay, preferably within 3 business days from delivery.
Hidden defects must be notified in writing without undue delay after discovery.
A complaint must include order identification, defect description, photographs and relevant evidence.
Signing the delivery note, CMR, handover protocol or similar document without reservation confirms receipt of the products in the stated quantity and apparent condition.
The customer must not repair, modify, dispose of, use, resell or return allegedly defective products without written consent if this would prevent verification of the complaint.
9. Defects and remedies
In case of a justified complaint, DREKOTEC spol. s r.o. may choose one of the following remedies:
a) repair,
b) replacement,
c) delivery of missing products,
d) reasonable price reduction,
e) another agreed remedy.
DREKOTEC spol. s r.o. is not liable for defects caused by:
a) incorrect or incomplete customer specifications,
b) unsuitable drawings or wrong load data,
c) improper handling or storage,
d) overloading or uneven load distribution,
e) exposure to rain, humidity, heat, frost, chemicals or weather conditions,
f) pests after delivery,
g) use outside agreed parameters,
h) normal wear and tear,
i) repairs or modifications by the customer or third parties,
j) natural properties of wood.
10. Retention of title
Products remain the property of DREKOTEC spol. s r.o. until full payment of the purchase price and all related claims arising from the relevant order.
Until full payment, the customer must store the products separately or otherwise ensure that they can be identified as the property of DREKOTEC spol. s r.o.
If the customer is in payment default, DREKOTEC spol. s r.o. may request return of unpaid products. The customer shall provide all necessary cooperation for their return.
11. Customer materials and drawings
Drawings, technical documents, samples, logos, markings and other materials provided by the customer are used at the customer’s responsibility.
The customer warrants that such materials do not infringe third-party rights.
The customer shall indemnify DREKOTEC spol. s r.o. against claims arising from infringement of intellectual property, design, trademark or other rights caused by customer-provided documentation, markings or instructions.
Tools, jigs, templates and production aids made by DREKOTEC spol. s r.o. remain the property of DREKOTEC spol. s r.o., unless agreed otherwise.
12. Confidentiality
Each party must keep confidential all technical, commercial, pricing, production, customer, logistics and business information received from the other party.
Confidential information may not be disclosed to third parties or used for any purpose other than performance of the relevant order.
13. Limitation of liability
DREKOTEC spol. s r.o. is not liable for indirect damage, consequential loss, loss of profit, production stoppage, contractual penalties charged to the customer by third parties, recall costs, line stoppage, loss of business opportunity, customs costs, storage costs or reputational damage.
Total liability arising from one order is limited to the price of the affected products, excluding VAT.
This limitation does not apply where liability cannot be limited under mandatory law.
14. Force majeure
DREKOTEC spol. s r.o. is not liable for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, fire, flood, war, sanctions, epidemic, strikes, shortage of timber or materials, supplier failure, transport disruption, energy outage, machinery breakdown, cyberattack, public authority measures or changes in law.
Delivery deadlines are extended for the duration of such circumstances and a reasonable recovery period.
If such circumstances last more than 60 days, either party may terminate the affected order. Payment obligations for products already manufactured or delivered remain unaffected.
15. Packaging, loading, unloading and storage
Unless agreed otherwise, the customer is responsible for unloading at the delivery place and for ensuring suitable access, equipment and personnel.
Waiting time, failed delivery, repeated delivery, special loading or unloading requirements and storage caused by the customer may be charged separately.
Products must be stored in dry, ventilated and suitable conditions.
Outdoor storage, direct rain, snow, excessive humidity or chemical exposure may cause deformation, mould, staining or degradation and may invalidate defect claims.
16. Compliance and safety
The customer is responsible for ensuring that ordered products are suitable for the customer’s goods, weight, load distribution, storage method, logistics process and destination requirements.
The customer must provide accurate load, handling, racking, stacking, export and safety requirements before order confirmation.
DREKOTEC spol. s r.o. may refuse production or delivery if the requested product appears unsafe, unlawful, technically unsuitable or commercially unreasonable.
17. Suspension and termination
DREKOTEC spol. s r.o. may suspend performance or terminate an order if the customer:
a) is in payment default,
b) exceeds the approved credit limit,
c) fails to provide required information or cooperation,
d) becomes insolvent or threatens insolvency,
e) materially breaches these General Terms and Conditions.
If a custom order is cancelled or terminated after production has started, the customer must pay all costs already incurred, including material, labour, subcontracting, tooling, storage and lost margin on the cancelled part of the order.
18. Governing law and disputes
These General Terms and Conditions are governed by the laws of the Slovak Republic.
19. Final provisions
These General Terms and Conditions are effective from 30 May 2026.
